Hereinafter referred to as the "Seller" or "Operator".

2. Scope of the GTC

These General Terms and Conditions apply to quotation requests submitted through the Operator's website and to the business contracts concluded on the basis thereof.

The Operator primarily performs international sales and export activities from Hungary for European business partners.

Sales are carried out exclusively for businesses, companies, and professional users.

No consumer contracts are concluded.

By using the website and submitting a quotation request, the partner accepts the provisions of these GTC.

3. Website Operation and Quotation Requests

The products displayed on the website are presented for informational purposes only.

The products shown on the website do not constitute products offered for direct online purchase, and the website does not operate as an automated webshop sales system.

Users may place selected products into the cart and submit a quotation request to the Operator.

Prices are not displayed on the website.

A customized quotation is prepared in each case, which may include in particular:

  • product prices,

  • shipping costs,

  • delivery deadlines,

  • payment terms,

  • as well as possible technical or commercial conditions.

A contract is concluded only upon acceptance and confirmation of the Operator's written quotation.

4. Minimum Order Value

The minimum order value is net EUR 50.

The Operator reserves the right to reject quotation requests or orders below this amount.

5. Product Information and Technical Data

Technical data, dimensions, drawings, images, standard references, and other information displayed on the website are for informational purposes only.

The Operator reserves the right to make technical modifications, provided they do not substantially affect the intended use of the product.

The Operator strives to ensure that the supplied products comply with the applicable standards and technical specifications for the given product category.

Depending on the product type and availability, the Operator may provide upon special request:

  • manufacturer's declaration of conformity,

  • material certificate,

  • inspection certificate,

  • or other certifications.

The availability of certificates and documentation is always subject to prior confirmation.

6. Custom or Special Products

In the case of products manufactured or procured based on custom specifications, drawings, dimensions, or special customer requirements, the Buyer is responsible for the accuracy of the provided technical data.

Orders placed for such products cannot be modified or cancelled once production or procurement has commenced.

The Operator shall not be liable for damages resulting from incorrect or incomplete technical specifications.

7. Prices and Payment Terms

Prices stated in quotations are net prices and do not include VAT, customs duties, local taxes, or other additional costs unless expressly stated otherwise in the quotation.

The Operator is entitled to invoice in HUF or EUR currency.

The default payment method is advance payment by bank transfer.

Different payment terms may only be applied based on a separate written agreement.

The Operator reserves the right to:

  • request advance payment,

  • invoice partial deliveries,

  • or make shipment conditional upon receipt of payment.

In the event of late payment, the Operator is entitled to:

  • charge late payment interest,

  • suspend further orders,

  • or require advance payment for future transactions.

8. Delivery and Performance

Delivery deadlines are indicative only unless the Operator expressly undertakes a fixed deadline in writing.

Delivery terms and costs are determined individually in each quotation.

The Operator primarily performs export deliveries from Hungary.

The Operator shall not be liable for:

  • carrier delays,

  • customs clearance delays,

  • supplier delays,

  • raw material shortages,

  • or force majeure events.

Partial deliveries are permitted.

The risk of damage passes to the Buyer according to the applicable Incoterms rules.

9. Retention of Title

Ownership of delivered products shall remain with the Operator until full payment of the purchase price and all related costs has been received.

10. Complaints and Liability

The Buyer is obliged to inspect the products upon receipt.

Complaints regarding quantity discrepancies or visible defects are accepted only if submitted in writing within 5 working days from receipt.

In the case of hidden defects, the complaint period is 6 months.

At its sole discretion, the Operator may provide:

  • repair,

  • replacement,

  • or credit note compensation.

Under no circumstances shall the Operator's liability exceed the net value of the affected product.

The Operator excludes liability for:

  • loss of profit,

  • production downtime,

  • indirect damages,

  • consequential damages,

  • claims asserted by third parties.

11. Force Majeure

The Operator shall not be liable for delays or non-performance caused by circumstances beyond its reasonable control, including in particular:

  • war,

  • sanctions,

  • export restrictions,

  • epidemics,

  • energy shortages,

  • strikes,

  • logistical disruptions,

  • raw material shortages,

  • or supplier-related issues.

12. Governing Law and Jurisdiction

These GTC shall be governed by the laws of Hungary.

The parties shall attempt to settle disputes amicably in the first instance.

If such efforts fail, the exclusive jurisdiction of the Hungarian courts is stipulated.

The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded by the parties.

13. Final Provisions

The Operator reserves the right to amend these GTC unilaterally.

The current version of the GTC becomes effective upon publication on the website.
